How To Register A Limited Company In Uganda

You can register a limited company in Uganda by submitting all required documents to URSB. The Uganda registration services bureau is a government one-stop portal that is responsible for the registration of companies. The entire company registration exercise takes between now and two days in order to have a certificate of incorporation issued provided all fees associated have also been paid.

In order to register a company, one must know and fully understand the type of company he or she wants to register as that makes one get to know the kind of documents which are required to submit including the steps to take.

Different Types Of Companies In Uganda

  • Local Company limited by Shares
  • Local company limited by guarantee
  • Foreign company

There are two different types of companies in Uganda including companies limited by shares and companies limited by guarantee. Companies limited by shares can be private or public depending on the different factors including members and etc and have share capital. On the other hand, companies limited by Guarantee are types with no share capital but rather, members act as their guarantors.

In Uganda, companies limited by shares are also divided into categories, for example, locally-owned (with more than one member), foreign-owned (incorporated in another country), single-owned (owned by a single individual), or public-owned (listed on a securities exchange).

Requirements for Company Registration In Uganda

In order to register a company in Uganda, certain requirements are mandatory. They include the following below depending on the type of company to be registered.

Company limited by Shares

  • Approved name reservation
  • Companies registration form (s.18)
  • Memorandum and Articles of association (if any)
  • Form A1 – Statement of Nominal Capital
  • ID copies of owners

Company limited by Guarantee

  • Approved name reservation
  • Companies registration form (s.18)
  • Memorandum and Articles of association
  • ID copies of members

Foreign company

  • Certified copies of Memorandum of Articles of Association or
  • Charter or
  • Constitution and,
  • Certificate from the country of origin duly witnessed.
  • Registration forms
  • Form 24 – Particulars of Directors and Secretary
  • Form 13 – Statement of all subsisting charges
  • Form 25 – List of Names and Address of Persons Resident in Uganda authorized to accept service on behalf of the company.
  • Form 26 – Address and Principle Office of Company.

URSB Company forms Uganda

  1. Company Form 20 – Particulars of Directors and Secretaries (Within 14 days)
  2. Company Form 18 – Notice of Situation of Registered Office & Postal Address (within 14 days)
  3. Company Form 10 – Return of allotment (within 60 days)
  4. Form of Annual Return for a company limited by shares (to be filed once every year).
  5. Form 24 – Particulars of Directors and Secretary
  6. Form 13 – Statement of all subsisting charges
  7. Form 25 – List of Names and Address of Persons Resident in Uganda authorized to accept service on behalf of the company.
  8. Form 26 – Address and Principle Office of Company.

Note: The above are some of the forms for registration of a company in Uganda. Each of them is mandatory at a certain level and as a must, one has to submit it.
